Eligibility

All content and materials provided through our Services, including but not limited to software solutions, documentation, code, designs, and consulting methodologies, are the property of Akcatech or our licensors and are protected by intellectual property laws.

License

We grant you a limited, non-exclusive, non-transferable, and revocable license to use our consulting services and any delivered software solutions in accordance with these Terms and the specific project agreement. You may not:

• Copy, modify, distribute, sell, or lease any proprietary software or consulting materials without explicit written permission.
• Reverse engineer or attempt to extract the source code of our proprietary software solutions.
• Use our consulting methodologies or proprietary processes for competing services.

User Content

Submissions

By submitting any content to our Services, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with our Services and our business.

Responsibility

You are solely responsible for the content you submit and the consequences of sharing it. You represent and warrant that you have all necessary rights to submit the content and that it does not infringe or violate any third-party rights or any laws.

Consulting Services and Payment

Service Fees

Our consulting services are subject to fees as outlined in individual project agreements or service contracts. You agree to pay all applicable fees according to the agreed payment schedule. We reserve the right to adjust our rates with 30 days' notice for ongoing services.

Project Scope

All consulting projects will be governed by a separate Statement of Work (SOW) or project agreement that defines scope, deliverables, timelines, and payment terms. Changes to project scope may result in additional fees.

Billing

You authorize us to charge your designated payment method for the fees due. If we are unable to process your payment, we may suspend or terminate your access to the Services.

Termination

We may terminate or suspend your access to our Services, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our Services will immediately cease.

Disclaimers and Limitation of Liability

Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing or performance.

Limitation of Liability

To the maximum extent permitted by law, Akcatech and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our Services.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from our Services.

Indemnification

You agree to defend, indemnify, and hold harmless Akcatech and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services.
• Your violation of any term of these Terms.
• Your violation of any third-party right, including without limitation any intellectual property, property, or privacy right.
• Any claim that your content caused damage to a third party.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Turkey, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the courts located in Istanbul, Turkey for the purpose of litigating all such claims or disputes.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
